This Paidnice Partner Agreement (the “Partner Agreement”) outlines the terms and conditions of the Paidnice Partner Program (the “Program”).
By applying to and participating in the Program, you agree to the terms of this Partner Agreement, as well as the Paidnice Privacy Policy and Terms of Use, which are incorporated by reference.
If you are agreeing to this Partner Agreement on behalf of a company, organization, or other corporate entity, you confirm that you have the authority to bind such entity to this Partner Agreement.
1. Program Prerequisites
To join the Program, you must meet the following prerequisites:
- Be a provider of professional advisory services (e.g., accountant, bookkeeper, consultant) to businesses.
- Complete an application form and agree to the terms of this Partner Agreement.
- Complete Paidnice’s training and certification program.
- Have at least one client using Paidnice or commit to onboarding a client within 30 days of joining the Program.
2. Benefits of the Program
As a Paidnice Partner, you will receive the following benefits:
- Discounts on Paidnice products and services.
- Affiliate commissions, paid quarterly, based on new client sign-ups or usage milestones.
- Access to the Paidnice Partner Directory, subject to meeting annual client onboarding requirements.
- Approval-based use of Paidnice branding for promotional purposes.
3. Ongoing Obligations
To maintain your status as a Paidnice Partner, you agree to:
- Actively promote Paidnice to your clients and network.
- Ensure that you or a designated team member completes any updates to training or certification provided by Paidnice.
- Onboard at least 5 new clients to Paidnice annually to remain listed in the Paidnice Partner Directory.
- Use Paidnice branding only after receiving prior written approval from Paidnice.
Failure to meet these obligations may result in removal from the Program.
4. Partner Directory
Paidnice may list your business in its public Partner Directory, subject to the following conditions:
- You have onboarded at least 5 new clients to Paidnice in the preceding 12 months.
- You comply with the branding and promotional guidelines established by Paidnice.
- Paidnice reserves the right to include or remove any partner from the directory at its sole discretion.
5. Affiliate Commissions
Affiliate commissions are paid quarterly, subject to the following conditions:
- Commissions are based on verified new client sign-ups or usage milestones as specified by Paidnice.
- Payments will be processed within 30 days following the end of each calendar quarter.
- If you fail to meet the annual client onboarding requirement, future commissions may be suspended.
6. Duration and Termination
This Partner Agreement is effective upon your acceptance into the Program and will remain in effect until terminated by either party. Termination conditions are as follows:
- By Paidnice: Paidnice may terminate your participation in the Program at its sole discretion, with written notice.
- By Partner: You may terminate this agreement by providing 30 days’ written notice to Paidnice.
- Upon termination, you will no longer be eligible for Program benefits, including commissions and directory listing.
7. Branding and Promotional Materials
You may use Paidnice’s branding and promotional materials only after receiving prior written approval. All use must comply with Paidnice’s branding guidelines, which may be updated from time to time.
8. Indemnity
You agree to indemnify Paidnice against any claims, costs, damages, or losses arising from:
- Your actions or omissions, including professional services provided to your clients.
- Any breach of this Partner Agreement.
- Any misuse of Paidnice’s branding or promotional materials.
9. Modifications to the Agreement
Paidnice reserves the right to update or modify this Partner Agreement at any time. Any material changes will be communicated to you via email or through the Paidnice platform. Continued participation in the Program constitutes acceptance of the modified terms.
10. Relationship of the Parties
This Partner Agreement does not create any agency, partnership, joint venture, or employment relationship between you and Paidnice. You are not authorized to create obligations on behalf of Paidnice.
11. Governing Law
This Partner Agreement is governed by the laws of New Zealand. Any disputes arising under this Agreement shall be resolved in the courts of New Zealand.
By applying to and participating in the Paidnice Partner Program, you acknowledge that you have read, understood, and agreed to the terms of this Partner Agreement.
